1Historic Step for Tokenized Assets

Franklin Templeton is preparing to add tokenized assets to its conventional mutual funds and ETFs. SEC staff approved the firm's $721 million blockchain-based money market fund for these portfolios. This decision is characterized as the first U.S. regulatory clearance for digitally native products in traditional funds. However, the SEC emphasized that this approval does not create a legal obligation.

2Fund's Technical Details

The Franklin OnChain U.S. Government Money Fund (FOBXX) had $720.9 million in net assets and a 3.50% seven-day net yield as of July 31. The company will open a separate wallet on the Stellar blockchain for each investment fund. These wallets will maintain the official ownership record of fund shares and will be managed by Franklin Templeton Investor Services (FTIS).

3SEC's 12 Conditions

The SEC set 12 important conditions for approval. Each fund's board of trustees must approve the arrangement and review it at least annually. FTIS must retain the authority to correct errors, freeze or migrate wallet records, and restore the official ownership record. Independent auditors must verify each fund's holdings at least three times a fiscal year.

4Legal Basis from 1992

The SEC's decision is based on a 1992 letter to Franklin Investors Securities Trust. This letter covered a master-feeder arrangement allowing an affiliated transfer agent to hold fund shares in book-entry form. Franklin argued that the Stellar wallet raises the same question, as FTIS still maintains the official ownership record.

5Other Industry Players

The 1992 letter included 23 investment managers such as Putnam, Western Asset, ClearBridge, BrandywineGLOBAL, Royce, and Clarion Partners. Franklin Templeton also acquired 250 Digital, spun out from CoinFund, expanding its digital asset team to 50 people. This move is part of the company's growth strategy in the digital asset market.

6SEC's Crypto Asset Regulations

On August 18, the SEC proposed the Regulation Crypto Assets with $5 million and $75 million offering paths. This proposal carries a 60-day comment period. Franklin Templeton's request was signed by Navid J. Tofigh and answered by Taylor Evenson. These developments indicate progress in crypto asset regulations.

7Future of Tokenized Assets

Franklin Templeton's move could accelerate the integration between traditional finance and blockchain technology. Tokenized assets may increase transparency in fund management and reduce transaction costs. This development could lead other major investment firms to take similar steps.

8What It Means for Investors

This approval provides investors with access to tokenized assets. Integrating digital assets into traditional funds could enhance portfolio diversification. However, investors need to understand the risks and returns of these new products. The SEC's conditions aim to strengthen investor protection.
