1L3Harris CEO Forced Out

Defense giant L3Harris ousted Chairman and CEO Chris Kubasik over the weekend after a board investigation revealed he violated the company’s code of conduct. Kubasik had been CEO since 2021. The board clarified that the violation did not involve financial reporting, customer relationships, or operations. Kubasik resigned from the L3Harris board and all its subsidiaries.

2Kubasik's Past and Violation

Kubasik's removal mirrors his departure from Lockheed Martin 14 years ago following a similar ethics investigation. At that time, he was found to have had a close personal relationship with a subordinate. Details of the recent violation at L3Harris were not disclosed, but it was confirmed that he breached company policies.

3Separation Agreement and Financial Losses

Under the separation agreement with L3Harris, Kubasik will receive no severance or bonus. He also forfeited $45 million in equity awards and stock options. However, he retains $23 million in options and $57 million worth of L3Harris shares he already owns.

4Kubasik's Three-Year Compensation

Over the past three years, Kubasik received $66.3 million in compensation from L3Harris, including $25.6 million in fiscal 2025. During his tenure, the company forged close ties with the Trump administration and secured significant government contracts.

5L3Harris's Future Plans

L3Harris appointed Sam Mehta as Kubasik's immediate replacement. Mehta had been leading the company’s space and communications systems divisions. The board reaffirmed its 2026 guidance for revenue, growth, and operating margins. Kubasik's ouster led to a 4% drop in the company’s stock price.

6Kubasik's Previous Departure

When Kubasik left Lockheed Martin, he received $3.5 million in severance. However, the L3Harris separation agreement was stricter. Kubasik forfeited his 2026 bonus and $9.3 million in cash severance. He also lost $7.6 million in stock options.

7Company's Future Steps

The L3Harris board reserves the right to claw back Kubasik's options if future misconduct, such as fraud, sexual assault, or quid pro quo harassment, is proven. The company declined to comment on Kubasik's removal.

8Kubasik's Legacy and Impact

Kubasik oversaw significant transformations at L3Harris and built a strong team. However, the violation of company values and policies forced the board’s hand. His departure may spark new debates about leadership and ethics in the defense industry.
