Fox Corp. Finalizes $22 Billion Acquisition of Streaming Platform Roku
The media giant completes its massive takeover, promising to maintain Roku's open ecosystem.
1Strategic Acquisition Completion
Fox Corp. officially closed its $22 billion acquisition of the streaming platform Roku this Friday. The transaction, which was finalized well ahead of the anticipated 2027 timeline, marks a major consolidation in the media industry. Shareholders from both companies had previously granted their formal approval for the deal on October 14.
2Leadership and Integration
Roku founder and CEO Anthony Wood will join the Fox board of directors as co-chair of a newly formed division. This unit, named Fox Digital Platforms, will oversee Roku, Tubi, and other digital assets. Paul Cheesbrough will serve alongside Wood as the division's co-chair and CEO to manage the combined operations.
3Commitment to Open Ecosystem
Fox executives have pledged to maintain Roku as an open ecosystem for the broader streaming industry. This ensures that the platform will not prioritize Fox News or Fox One content over other services. The company aims to preserve the neutral interface that currently serves a customer base of over 100 million households.
4Expanding Digital Footprint
The merger significantly enhances Fox's presence in the free, ad-supported streaming market by combining Tubi with the Roku Channel. Fox now emerges as a dominant player in digital video advertising and a key distributor for premium subscription services. This scale provides the company with substantial leverage across the competitive streaming landscape.
5Financial Synergies and Outlook
Fox expects to achieve approximately $400 million in annualized cost synergies within two years of the closing. While these efficiencies suggest potential layoffs, the company anticipates the acquisition will be accretive to free cash flow per share by the second full year. Revenue upside is also expected from the combined business model.
6Roku's Recent Performance
Roku demonstrated strong financial health leading up to the acquisition, reporting $4.1 billion in sales during the first nine months of 2026. This represented a 23% revenue growth compared to the previous period. Notably, the company generated $183 million in net income during the third quarter, a seven-fold increase year-over-year.
7Maintaining Arms-Dealer Status
Fox intends to keep Roku operating as a neutral front-end for various third-party streaming services, including Netflix, YouTube, and Disney+. By preserving this arms-dealer status, Fox ensures the platform remains a ubiquitous gateway for content. This strategy is essential for retaining the massive user base that relies on Roku for access.
8Future Strategic Direction
Lachlan Murdoch stated that the primary priority is to continue serving audiences while reinforcing the choice inherent to the Roku platform. Anthony Wood emphasized that the mission to improve television viewing remains unchanged despite the new ownership. The combined entity now focuses on leveraging shared resources to drive future digital innovation.
