1Sudden Leadership Departure

PN Vasudevan, founder and MD of Equitas Small Finance Bank, announced his resignation to address a persistent conflict of interest narrative. Despite regulatory compliance, the perception surrounding his daughter’s role in an NBFC caused significant market friction. He aims to remove this overhang to restore shareholder value and employee confidence.

2Market Reaction and Volatility

Following the announcement, Equitas shares experienced a sharp decline, hitting a 20% intraday drop before closing 12.2% lower at ₹57.17 on the NSE. Investors reacted negatively to the leadership uncertainty, as the bank currently lacks a clear internal successor, raising concerns about potential operational disruption during the upcoming transition period.

3The Conflict Perception Gap

Vasudevan clarified that no actual conflict exists, as there are no active transactions between the bank and his daughter’s firm, Unico Housing Finance. A single short-term deposit from 2.5 years ago was fully repaid. However, he acknowledged that investor perception often outweighs reality, necessitating his exit to protect the bank's valuation.

4Succession Planning Challenges

The board has accepted the resignation but requested Vasudevan to continue until a successor is appointed. The nomination and remuneration committee is now tasked with identifying internal or external candidates. This marks the second time Vasudevan has attempted to step down, following a previous withdrawal of his resignation back in 2022.

5Strong Financial Performance

Despite the leadership turmoil, Equitas reported record quarterly profits of ₹218 crore. Gross advances grew 30% year-on-year to ₹50,669 crore, while deposits rose 19% to ₹52,483 crore. The bank has successfully de-risked its portfolio, with unsecured microfinance now accounting for only 10% of total advances, supporting a stable long-term outlook.

6Strategic Growth Targets

The bank maintains its five-year plan through March 2031, targeting a CAGR of over 20% in both advances and deposits to reach ₹1.2 trillion. Management projects an average return on assets of 1.5% during this period. The current branch network of 1,100 touchpoints is deemed sufficient to support these aggressive growth objectives.

7Regulatory and Family Context

Vasudevan’s daughter, a psychologist, founded Unico Housing Finance in 2023 with an RBI license. Vasudevan previously stated his intention to pursue philanthropic activities, including an adoption centre and therapy services for special children. He remains committed to the bank’s vision and will ensure a smooth handover to the next leader.

8Future Institutional Stability

The board emphasized that the transition will not impact the bank's long-term vision or strategic direction. By removing the perceived conflict of interest, the bank hopes to align its stock performance with its underlying financial strength. The focus now shifts to the committee’s ability to secure a capable successor for the institution.
